Pinheiro Neto advises Port of Rotterdam on Brazil acquisition

Brazilian law firm Pinheiro Neto has acted as counsel for Port of Pecém Participations (PoPP), a holding company owned by Havenbedrijf Rotterdam NV (Port of Rotterdam), for PoPP to acquire a 30-percent stake in Companhia de Desenvolvimento do Complexo Industrial e Portuário do Pecém, a mixed capital company controlled by the Brazilian state of Ceará. 



RotterdamAs a result of the transaction, PoPP will acquire shares currently owned by the state of Ceará in Companhia de Desenvolvimento do Complexo Industrial e Portuário do Pecém, as well as subscribe and pay-in new shares to be issued by the company.

In addition to its port operations, Companhia de Desenvolvimento do Complexo Industrial e Portuário do Pecém is also whole owner of Companhia Administradora da Zona de Processamento de Exportação do Ceará – ZPE Ceará.



The transaction is valued at 323 million reais ($86.4 million). 



Commenting on the acquisition, Port of Rotterdam Authority CEO Allard Castelein said, “our participation in the port of Pecém is a great opportunity. This port has clear growth potential and its strategic situation gives it a strong position for developing into northeast Brazil’s foremost logistics and industrial hub. This in turn will create new opportunities for international trade flows and investments from Europe.”

The Pinheiro Neto lawyers engaged as counsel to Havenbedrijf Rotterdam were partners Enrico Bentivegna and Ricardo Levy, and associates Carlos Eduardo Azevedo, Heloísa Figueiredo Ferraz and Rafael Garcia Santana Martins.
