Norton Rose Fulbright counsels Campollo on acquisition by Cargill

Norton Rose Fulbright Colombia has acted as legal counsel to Campollo, one of Colombia’s leading poultry sector companies, in the divestment of 100 per cent of its equity to US-based food, agriculture and financial and industrial products conglomerate Cargill.

CampolloCargill acquired Campollo through its local subsidiary Pollos el Bucanero.

Norton Rose Fulbright partner Ana Cristina Jaramillo and associate Juan Manuel Ronderos led the team adivising Campollo.


Jaramillo had also represented the shareholders of Pollos el Bucanero in the sale of 100 per cent of their shares to Cargill last year in a transaction worth over $170 million. 



The Campollo transaction presented several challenges, Norton Rose Fulbright said, given that the company was subject to a restructuring procedure, with more than 1,800 creditors in Colombia and abroad. 

The transaction also included negotiations with creditors within the restructuring procedure to acquire debt in order to make the company financially viable, as well as the divesture of non-operational assets, the implementation of remedies to solve matters identified during the due diligence, and the negotiation of acquisition documents and the closing of the transaction.

Brigard & Urrutia advised Cargill, led by Sergio Michelsen, partner Fernando Alfredo Castillo, director Luis Miguel Centanaro, and associate Ana María Cortés.


Norton Rose Fulbright Colombia also acted as legal counsel to Restcafe, a Colombian subsidiary of Mesoamerica Group, in the sale of assets related with its coffee toasting business in Colombia to Café Soluble, a business group with operations in Central America.

The law firm also advised Mesocoffe on the acquisition of a further stake in Restcafe, with which it becomes the holder of 100 per cent of the company’s equity. The law firm’s team was led by partner Ana Cristina Jaramillo and associate Juan Manuel Ronderos.


The firm also acted as legal counsel to Tinello Capital in the structuring and execution of a convertible debt instrument, and follow-up conversion in the equity of Reve Group, an indirect holder of Colombian companies Tostao Coffee and Merqueo, an online retail business.



Partner Ana Cristina Jaramillo and associate Santiago Gonzalez acted as legal counsel to Tinello.



Merqueo was also advised by Norton Rose Fulbright Colombia, through its partner Ana Cristina Jaramillo, and associates Tomas Calderon, Santiago Gonzalez and Juan Manuel Ronderos, on the structuring, negotiation and closing of a finance round, including issuance of Class B shares to raise working capital for future operations.
