Larrain y Asociados advises on merger of Chilean cement companies
Chilean law firm Larrain y Asociados has advised Cemento Polpaico and Gamma Cementos on their merger, in which Polpaico bought out Gamma, creating a company valued at around $250 million.
Cemento Polpaico is one of Chile’s leading cement producers with more than 70 years in the industry and is listed on the Santiago stock exchange. Gamma is the holding company of Cementos BSA.
The merger was the first in Chile carried out remotely by the two companies’ shareholders, given the movement restrictions imposed as a result of the coronavirus pandemic.
Larrain y Asociados’ team was led by partner Jorge Granic (pictured), with associates Juan de Dios Ferrada and Teresita Vinagre.
Polpaico’s minority shareholders were advised by HIPA Abogados.
Polpaico’s in-house lawyer Fernando Morgan also assisted with the merger.
