Gómez-Pinzón steers Enfragen on debt restructuring

Gómez-Pinzón counselled Enfragen and its Colombian guarantors on $1,76 billion refinancing loan

Gómez-Pinzón assisted power producer Enfragen and its Colombian guarantors on obtaining a $1,76 billion in debt to refinance its existing debt portfolio in Latin America.

The list of guarantors is formed by Prime Energía Colombia S.A.S., Prime Termoflores S.A.S. E.S.P, Prime Colombia Barranquilla S.A.S., Fontus Spain, S.L.U., Prime Energía III SpA, Prime Energía II SpA, Las Perlas Sur, S. de R.L., Las Perlas Norte, S. de R.L., Istmus Hydro Power, S. de R.L., Prime Energía QuickStart SpA, Generadora del Pacífico SpA, Generación de Energía Nueva Degan SpA, Empresa Eléctrica Diego de Almagro SpA and Generadora Antilhue SpA.

This operation includes the refinancing of existing debt of the Colombian subsidiaries with a syndicate of banks.

The transaction included two portions:

(i) a $1.05 billion five-year bank loan with a group of eight banks. JP Morgan and Scotiabank acted as global coordinators, with BNP Paribas, Intesa Sanpaolo, Mizuho, MUFG, Société Générale and SMBC. JP Morgan and Scotiabank were global coordinators on the bond deal as well as joint bookrunners, along with BNP Paribas, IMI Intesa Sanpaolo, Mizuho, MUFG, SMBC Nikko and Société Générale.

(ii) a bond offering under Rule 144A/RegS of the Securities Act of 1933 for an amount of $710 million, a 5.375% coupon and maturing in 10 years.
