Souza, Mello e Torres with Groupe Casino
Souza, Mello e Torres Sociedade de Advogados advised Groupe Casino in the spin-off of Companhia Brasileira de Distribuição (GPA) so that Sendas Distribuidora S.A. (Assaí) to become an independent company, listed on B3 and NYSE and directly under Casino’s control
The transaction also involved a corporate reorganization to redistribute the assets of GPA and Assaí prior to the spin-off. The transaction amounts to R$35,000,000,000.00 (thirty five billion reais) and involved two of the most relevant companies in global retail.
The separation resulted in the consolidation of Sendas (under the “Assaí” brand) as one of the largest retail companies in the country, with about 185 stores.
