The Brazilian meat producer Minerva (Minerva Foods), through its subsidiary Minerva Luxembourg, issued bonds at an annual rate of 4.375% and maturity of 10 years (maturing in 2031) in the international market for US$ 1 billion.
 
The firm Stocche Forbes Advogados and in-house counsel represented Minerva and its subsidiary. The law firm White & Case also acted in the operation.
 
Pinheiro Neto Advogados (São Paulo) and David Polk & Wardwell advised Banco BTG Pactual – Cayman Branch, HSBC Securities (USA), Itaú BBA USA Securities, J.P. Morgan Securities, Bradesco BBI, Santander Investment Securities and XP as initial purchasers on the issue and as dealer managers on the buyback.
 
The banks also received assistance from their respective in-house legal teams in the transaction which was conducted in compliance with Rule 144A and Regulation S.
