Machado Meyer advises Orion and XP Infra on stock purchase

Machado Meyer has acted as legal advisor to Órion Transmissão S.A. and its manager (XP Infra II Fundo de Investimento em Participações em Infraestrutura)

Órion Transmissão S.A and the Sellers Marcos Ernesto Zarzur, Mauricio Ernesto Granjean Zarzur, Arteon Z Transmissão Fundo de Investimento em Participações em Infraestrutura and Barolo Participações Ltda. executed the Private Instrument of Agreement for the Purchase and Sale of Shares and Other Covenants, upon which Órion acquired from the Sellers 70.589% of the shares issued by Arteon Z Transmissão Participações S.A., a company that holds 100% of the shares issued by the operating companies Arteon Z1 Energia S.A., Arteon Z2 Energia S.A. and Arteon Z3 Energia S.A.

XP Infra II Fundo de Investimento em Participações em Infraestrutur, manager of Orion, had already invested in the Company by subscribing to all the debentures of its first issue convertible into common shares.

After the conversion of the convertible debentures currently held by FIP-IE XP and the consummation of the Operation, FIP-IE XP will hold 76.015% of the Company’s capital stock. Therefore, through the Operation, FIP-IE XP consolidates its participation in the Company and becomes the controller of the operating companies Arteon Z1 Energia S.A., Arteon Z2 Energia S.A. and Arteon Z3 Energia S.A., which operate in the electric energy transmission market.
