Machado Meyer assists NEO FIP in acquisition of Kinea

Machado Meyer assisted NEO Capital III Fundo de Investimento em Participações in the acquisition of 19.63% of Kinea Private Equity IV Master Fundo de Investimentos em Participações Multiestratégia

Machado Meyer advised NEO FIP as the minority shareholder of Holding Verzani & Sandrini S.A., on the acquisition of 19.63% of the total and voting capital of Verzani by Kinea, through primary and secondary acquisitions.

NEO FIP did not participate in the transaction as a selling shareholder and, therefore, Machado Meyer assisted NEO FIP in reviewing the terms and conditions of the transaction documents, mainly the SPA and AA, in order to safeguard and maintain NEO FIP’s rights, to the maximum extent possible, suggesting pertinent adjustments to the transaction documents to enable NEO FIP to negotiate with Verzani and Kinea.
