Cascione advises Raízen on Shell acquisition
Cascione Pulino Boulos e Advogados advised Raízen on the acquisition of Shell’s entire lubricants business in Brazil
Cascione Pulino e Boulos Advogados assisted Raízen in the acquisition of Shell’s entire lubricants business in Brazil, including a blending plant and terminal in the state of Rio de Janeiro. Prior to closing, Shell will transfer all assets related to the business, including the blending plant, commercial agreements and supply and distribution chains to the company that will be acquired by Raízen.
Raízen has served since 2011 as the exclusive distributor of Shell brand lubricants in Brazil on the basis of a retail agency agreement. As this agreement was about to expire, the parties decided to proceed with the present agreement to use all the synergies developed in recent years for the benefit of both companies.
Raízen has acquired all the know-how for the production and marketing of Shell lubricants, but will continue to use the Shell brand in the business.
The Cascione team included partners Milana Martins (pictured left) and Luiz Eduardo Corradini (pictured right) and associate Lucas Markan.
White and Case also represented Raizen.
Shell used internal lawyers.
