TozziniFreire advised Grupo Vivante on the sale of shares to GPS
TozziniFreire Advogados advised Vivante S.A., Vivante Serviços de Facilities Ltda., Vivante Serviços de Instalação e Manutenção S.A., Vivante Norte S.A. and Serviços de Cogeração Carioca Ltda. on this deal
In the transaction, all the shares of Vivante S.A., owner of Vivante Serviços de Instalações Ltda., Vivante Serviços de Instalação e Manutenção S.A., Vivante Norte S.A. and Serviços de Cogeração Carioca Ltda, were acquired by GPS Participações e Empreendimentos S.A., from Fundo de Investimento em Participações Multiestratégia Brasil Capital Growth Partners II, Péroué Conseils Par Actions Simplifiée, Philippe Alain Yann Enaud, and Kleber Benedito Viana de Lima.
The deal came out of Fundo de Investimento em Participações Multiestratégia Brasil Capital Growth Partners II (fund managed by PE House Axxon Group) and was consolidated by GPS Participações e Empreendimentos S.A. in the provision of services related to general maintenance, facilities and energy efficiency.
It also involved a complex restructuring of the Vivante Group prior to the signing, with several negotiations with third parties (both to increase Vivante’s participation in subsidiaries and to exit other companies).
