Tauil & Chequer advises Ceiba Energy on acquisition of Breitener shares

Tauil & Chequer Advogados in association with Mayer Brown advised Ceiba Energy Fundo de Investimento em Participações Multiestratégia in the structuring of the acquisition of 100% of the shares issued by Breitener Energetica

Tauil & Chequer Advogados in association with Mayer Brown advised Ceiba Energy Fundo de Investimento em Participações Multiestratégia, controlled by Ceiba Energy LLC, an American energy company, in structuring the transaction for the acquisition of 100% of the shares issued by Breitener Energetica, owner of two thermal power plants, located in the State of Amazonas, Brazil, Breitener Tambaqui and Breitener Jaraqui.

Ceiba Energy Fundo de Investimento em Participações Multiestratégia, entered into a share purchase agreement with Petroleo Brasileiro S.A. – Petrobras and a share purchase agreement with GGR Participações S.A., ALN Gás e Energia S.A., Orteng Equipamentos e Sistemas Ltda. and Alcantra, Mendes & Cia Ltda. whereby Ceiba Energy, upon verification of certain conditions precedent, undertook to acquire 100% of the shares issued by Breitener Energética S.A.

The value of the deal is R$268,000,000 and the team was led by partners Bruno Werneck, Bruno Salzano, Débora Yanasse, Celso Grisi (in the image from left to right); associates Gustavo Mattos and Maria Isabel Amato; and the clerk Gustavo Chamadoiro.
