Lefosse advises Rumo issuance on Sustainability-Linked Senior Notes

Lefosse Advogados acted as Brazilian special counsel to Rumo S.A. and Rumo Luxembourg S.à r.l. in connection with the offering and sale of Sustainability Linked Senior Notes to the initial purchasers Itau BBA USA Securities, Inc., Morgan Stanley & Co. LLC, Santander Investment Securities Inc., Banco Bradesco BBI S.A., Banco BTG Pactual S.A. – Cayman Branch, Citigroup Global Markets Inc., Goldman Sachs International, J.P. Morgan Securities LLC, UBS Securities LLC and XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários S.A. in the amount of US$ 500 million aggregate principal amount.
Rumo S.A. is the company resulting from the merger of ALL into Rumo Logística, completed in 2016, and offers logistics services for rail transportation, port lifting and warehousing. Rumo’s main area of activity extends across the states of Mato Grosso and São Paulo and the southern states of Brazil, where four of the country’s most active ports are located and through which most of Brazil’s grain production is exported.
The offering was Rumo S.A.’s first issue of Sustainability Linked Notes. The net proceeds from the issue of the Notes will be used for general corporate purposes, including the repayment of our indebtedness.
