Cescon, WM&T, and Machado Meyer act in Tucano Holdings III debenture issue

Cescon Barrieu Advogados advised Tucano Holdings III, Wielewicki, Maia & Trovo Advogados advised Unipar Carbocloro S.A., and Machado, Meyer, Sendacz e Opice Advogados advised the lead coordinator

The transaction involves the issuance of infrastructure debentures by Tucano Holdings III S.A., in the total amount of R$200 million, to finance the construction of a wind farm.

Tucano Holdings III S.A. is a joint venture formed by AES Brasil Energia S.A. and Unipar Carbocloro S.A.

The offering was conducted under the terms of CVM Instruction 476 and Law 12,431/2011, and the Lead Coordinator was XP Investimentos, which was advised by Machado, Meyer, Sendacz e Opice Advogados.

The issuer was advised by Cescon Barrieu Advogados. The guarantor was advised by wm&t advogados.

Tucano Holdings intends to characterize the debentures of this issue as green debentures (Green Bonds), based on a social and environmental performance to be assessed by a specialized consulting company, in an independent report to be presented within 90 days.

Unipar Carbocloro S.A. relied on head of legal André dos Santos Ferreira, Cintia Terra de Freitas Cavalcante and was represented by wm&t advogados with partner Beatriz Trovo (pictured left) and senior lawyer Leonardo Portelada.

AES Brasil Energia counted on Denize Borges Romeiro and was represented by Cescon Barrieu Advogados which had the partners Ronald Herscovici (pictured centre) and  Ana Paula Calil and lawyers Rafael Morgado, Victor Scholze and Gabriela Romano.

XP Investimentos had Luiza Trindade and was represented by Machado, Meyer, Sendacz e Opice Advogados with team lead by partner Alberto Faro (pictured right) and lawyers Guilherme Spinacé, Felipe Baracat and Matheus Faria.
