Mattos Filho and Cescon Barrieu act in the acquisition of Echoenergia by Equatorial
Mattos Filho Advogados advised Actis LLP, Cescon BArrieu Advogados advised Equatorial Energia S.A.
Acquisition by Equatorial of the total and voting capital stock of Echoenergia , a Brazilian company specialized in renewable generation, controlled by ACTIS Fund, in the largest renewable energy transaction in the Brazilian market in recent years.
Despite being the largest M&A in the energy sector in 2021 and the largest renewable energy transaction undertaken in the Brazilian market in recent years, the transaction involved a complex cross-border negotiation given that the SPA was governed by UK law and all assets are located in Brazil – coordination and negotiation of a UK / BR cross-border M&A.
The closing of the transaction is subject to compliance with conditions precedent that are customary for this type of deal. The deal value was R$6.657 billion.
