Mattos Filho Advogados advised 3R Petroleum Óleo e Gás S.A. on primary and secondary public offering
Primary and secondary public offering of common shares issued by 3R Petroleum Óleo e Gás S.A., with restricted placement efforts, according to the CVM Instruction 476.
The company issued 36,500,000 registered, book-entry common shares with no par value, all free and clear of any liens or encumbrances, and the selling shareholders sold 7,300,000 registered, book-entry common shares with no par value.
The restricted offering also included the placement of an additional 29,200,000 shares issued by the company due to excess demand. The total value of the offering was R$2.409 billion.
The primary net proceeds from the offering will be used to finance ongoing asset acquisitions, such as the Potiguar Basin, while the proceeds from the Secondary Offering will be fully allocated to the selling shareholders.
