Mattos Filho advises Alpha Capital on agreement with Semantix
Mattos Filho Advogados advised Alpha Capital Acquisition Company in agreement with Semantix Tecnologia em Sistema de Informação S.A.
Mattos Filho advised Alpha Capital Acquisition Company, a special purpose acquisition company – SPAC that entered into a business combination agreement to regulate the merger with Semantix Tecnologia em Sistema de Informação S.A., resulting in the listing on Nasdaq of the Brazilian data software platform with an implied equity value of approximately US$1 billion.
The De-SPAC transaction will result in an investment of approximately $324 million by Alpha Capital and other investors. Closing of the transaction is subject to the satisfaction of certain customary conditions precedent.
