Machado Meyer and Tauil & Chequer advises Armac debenture issue
Machado Meyer Advogados advised Armac Locação, Logística e Serviços S.A.; Tauil & Chequer Advogados in association with Mayer Brown Banco advised the underwriters
Armac Locação, Logística e Serviços S.A. is a Brazilian platform for the leasing of equipment of various categories, such as yellow line machines: wheel loaders, hydraulic excavators, backhoe loaders, crawler tractors, among others.
The company carried out its 2nd issue of simple, unsecured debentures, not convertible into shares, of a single series, for public distribution, with restricted placement efforts, in accordance with CVM Instruction 476.
As a result of the debentures issue, Armac will raise an amount of R$ 1 billion. Such funds raised by the company with the restricted offering will be used in the normal course of its business and will be used to replenish the company’s cash position.
Machado Meyer was the company’s legal advisor in the transaction and was led by partners Gustavo Rugani do Couto e Silva (pictured left) in partnership with lawyers Wagner Eustaquio Duarte Junior, Andre Figueiredo Diniz.
Tauil & Chequer Advogados in association with Mayer Brown Banco advised BTG Pactual S.A, Banco Itaú BBA S.A. and BancoABC Brasil S.A., as underwriters, and relied on partner Luis Montes (pictured right) and included associates Thatiana Siqueira and Beatriz Lavigne and intern Beatriz Ferrari.
