Lefosse Advogados acted as Brazilian special counsel to Citigroup Global Markets Brasil, Corretora de Câmbio, Títulos e Valores Mobiliários S.A., Banco de Investimentos Credit Suisse (Brasil) S.A., UBS Brasil Corretora de Câmbio, Títulos e Valores Mobiliários S.A., XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários S.A. and Goldman Sachs do Brasil Banco Múltiplo S.A. in the primary public offering of 118,395,000 common shares issued by Equatorial Energia S.A., which was advised by Stocche Forbes Advogados.

The offer with restricted placement efforts in Brazil in accordance with CVM 476. The total amounting was R$ 2,782,282,500.00.
