GC represents AUO in acquisition of Behr-Hella shares

Gonzalez Calvillo has represented AUO Corporation (AUO), a Taiwanese technology innovation company with a global presence, in the tendered acquisition of 100% of the shares of Behr-Hella Thermocontrol (Behr-Hella), a joint venture between MAHLE Behr and HELLA dedicated to climate control and thermal management for the automotive industry.

This transaction had a value of €48,000,000 and involved jurisdictions in Mexico, Germany, India, Bulgaria, among others. Other participating firms include Clifford Chance as advisor to the seller, and Davis Polk as advisor to the buyer in Hong Kong.

The transaction was not only challenging due to the scope across multiple jurisdictions, but also the size of the transaction, the number of areas involved, the time constraints on the audit turnaround, and the regulatory complexity given the nature of the business. GC advised Behr-Hella’s Mexican subsidiary, BHTC Mexico.

Behr-Hella has numerous subsidiaries, spanning jurisdictions such as Germany, India, Bulgaria and Mexico.
