Arias acts in acquisition of Grupo Bretano on behalf of IMCD

Arias Costa Rica has acted as lead firm for all jurisdictions in the Central American region, advising IMCD on the signing of the acquisition of 100% of the shares of Bretano’s companies in Costa Rica, El Salvador, Guatemala and Mexico.

This acquisition strengthens IMCD’s presence in Latin America as a distributor and formulator of specialty chemicals and ingredients. Sánchez Devanny acted as advisor to IMCD, as buyer, in Mexico, while the seller was represented by Zenda Legal in Colombia.

The advice involved “tax issues, assets, employees, intellectual property and key customer and supplier relationships,” explained partner Andrey Dorado, as well as due diligence, negotiation and closing strategy phases. The firm is also in charge of the competition clearance process with the local authority, which is expected to close in the second quarter of 2024.
