Bomchil and Bruchou counsel on new issue of CGC Notes

Bomchil has counselled Compañía General de Combustibles (CGC) and Bruchou & Funes de Rioja the arranger and underwriter in the issuance of the Additional Class 35 Notes.

The Additional Class 35 Notes were denominated in US dollars and payable in pesos at the applicable exchange rate at a fixed interest rate of 3.00% and maturing in February 2026 for a total amount of USD $25,410,932. The Notes were also integrated exclusively in kind, through the delivery of Class 30 Negotiable Obligations denominated in US dollars and payable in pesos at the applicable exchange rate at a fixed interest rate of 0.00% and maturing in March 2025, issued by the company in March 2023. 

The issuance took place on 12 July 2024 under the company’s Frequent Issuer Scheme. Allaria participated as arranger and underwriter. 

The Additional Class 35 Notes are fungible and consolidate a single class with the Class 35 Notes issued on 28 June 2024. The Notes are authorised for listing on the Buenos Aires Stock Exchange and Markets and for trading on the Electronic Open Market.

Concurrently with the launch of the offering of the Additional Class 35 Notes, the company announced the irrevocable redemption of the remaining outstanding Class 30 Notes, which took place on 16 July 2024, at the corresponding redemption price.
