Different firms advise on Auren Energia’s issuance of debentures
Machado Meyer advised Auren Energia on the 3rd issuance of simple debentures, in the total amount of BRL 2,5 billion, with a maturity of 7 (seven) years.
Pinheiro Neto advised the issuer on the 4th issuance of simple debentures, non-convertible into shares, in a single series, unsecured, by Auren Energia, in accordance with CVM 160, totaling BRL 5,4 billions.
Stocche Forbes advised the underwriters Banco Itaú BBA Assessoria Financeira, Banco Santander (Brasil), Banco Bradesco BBI, UBS Brasil Corretora de Câmbio, Títulos e Valores Mobiliários, Banco Votorantim, XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários in both transactions.
The debentures were placed by means of a public distribution, under a firm placement guarantee regime for the total value of the Issuance, under the automatic registration procedure, pursuant to CVM 160. The funds raised by Auren through the debentures will be allocated to the management of Auren’s business for the development of its corporate purpose.
The issuances aimed to finance the business combination between Auren and AES Brasil. The business combination will result in a 2.4-fold increase in Auren’s energy generation, jumping it from thirteenth place among energy generators to the third largest company in the electricity sector, and consolidating its position as the largest energy trader in the country.
With the transaction, Auren incorporates a portfolio of 25 hydroelectric, wind and solar assets in operation and under construction by AES. The deal will create a platform with an installed capacity of 8.8 GW (gigawatts) made up of a robust portfolio of totally renewable energy generation and a market value of BRL 30.8 billion.
