Two firms advise on the signing of the acquisition of Estrela by CSN
Machado Meyer Advogados advised Companhia Siderúrgica Nacional – CSN on the signing of the agreement for the acquisition of shares representing 70% of the share capital of Estrela Comércio e Participações, the holding company of the Tora Transportes group, one of the largest logistics operators in the country, which has accumulated expertise in the area of road-rail integration and transportation operations for over 50 years.
The value of the transaction is BRL 742 million.
Machado Meyer Advogados relied on partners José Prado and Luis Filipe Gentil, and lawyers Jessica Kaori Konishi and Pedro Henrique Natucci Barreiros.
Madrona Fialho represented the sellers, through partner Patricia Alvarenga and associates Ricardo Zancan, Izabel Cristina de Lima and Rafael Ladeira (Tax), in the transaction and advised them on the negotiation of the Sale and Purchase Agreement and other ancillary documents, such as guarantee instruments and shareholders’ agreements, which include put and call options for the acquisition of the remaining 30% of Tora Transportes.
