Silveiro Advogados assists BTG in structuring agribusiness FIDC

Silveiro Advogados advised BTG Pactual on the structuring of BTG Desenvolve SP Fundo de Investimento em Direitos Creditórios, a credit rights investment fund created under CVM Resolution 175. The fund aims to acquire credit rights arising from the sugar and ethanol agribusiness sector.

The firm also assisted BTG Pactual, acting as administrator, manager and lead underwriter, in the public offering of the fund’s senior quotas, pursuant to CVM Resolution 160. The senior quotas were subscribed by Desenvolve SP, the State of São Paulo Development Agency.

In addition, Silveiro advised on the issuance of the fund’s subordinate mezzanine quotas through a public offering under the automatic registration procedure, and on the first issuance of its subordinate junior quotas via private placement. The transactions total approximately BRL 150 million.
