Mattos Filho and Veirano advises on Águas de Imperatriz issue
Mattos Filho Advogados advised Águas de Imperatriz (issuer) and Saneamento Ambiental Águas do Brasil (guarantor) on the issuer’s first public offering of simple, non-convertible debentures, secured by collateral, with additional surety, in three series, in the amount of BRL 500 million, which was coordinated by the National Bank for Economic and Social Development (BNDES), which was advised by Veirano Advogados.
The offering took place under an automatic distribution registration procedure, under a mixed regime of firm guarantee and best efforts placement, and was directed exclusively to professional investors, represented by Pentágono Distribuidora de Títulos e Valores Mobiliários, and the net proceeds raised by the issuer through the issuance will be fully directed to the financing of the project; and to the financing obtained by the issuer from BNDES in the amount of BRL 36 million, which will be disbursed by the Eco Invest Brasil – Blended Finance Program – a blended finance initiative aimed at promoting sustainable investments and mobilizing private capital for ecological transformation projects.
