BMA advises GE Vernova on Prolec GE stake acquisition
BMA Advogados, under the global coordination across all jurisdictions involved of Skadden, Arps, Slate, Meagher & Flom, advised GE Vernova on the acquisition of the stake held by the Mexican group Xignux in Prolec GE, a joint venture between the two companies, strengthening GE Vernova’s position as a global leader in the power grid market.
As part of the transaction, GE Vernova will acquire the remaining shares issued by Prolec GE Brasil Transmissão de Energia, representing fifty percent (50%) of its share capital, becoming its sole shareholder.
The total transaction value is approximately US$ 5.3 billion, to be paid in equal parts in cash and debt, and its completion, expected by mid-2026, is subject to customary conditions and regulatory approvals, including clearance by the Brazilian Antitrust Authority (CADE).
