VBSO and Cescon Barrieu act on the structuring of Riza’s FIAGRO

VBSO Advogados acted as legal counsel to Riza Asset Management on the structuring of the FIAGRO Terrax Vintage. The Fund raised BRL 408,627,100.00 from individual investors, legal entities, investment funds, and financial institutions that participated in the offering. Cescon Barrieu advised the coordinator.

The FIAGRO Terrax Vintage was designed under a sale-and-leaseback strategy, in which the fund acquires grain farms and leases them back to the same producer. This type of operation allows the farmer to improve their capital structure, an advantage in a time of tight liquidity.

The Fund was structured to be backed by assets with a return defined by a fixed rate. The distribution of results to unitholders will stem from both the dividends from the lease agreements signed on the assets acquired by the Fund and the revenues obtained from the sale of these assets to third parties.

The brokerage XP Investimentos was responsible for coordinating the distribution of the Fund’s units in the market, acting as the lead coordinator of the offering, and was provided legal counsel by the Cescon Barrieu which relied on partner Vitor Arantes (pictured right), associates Marcela Rivellino, Luisa Pereira, Juliana Serejo and intern Beatriz Bueno.
