Cescon Barrieu advises Grupo Fuganti’ acquisition of Rodomac
Cescon Barrieu advised Grupo Fuganti and Agro Divel Indústria, Comércio e Representações de Máquinas Agrícolas on the transaction consisting of the acquisition of 100% of Rodomac Tratores – Peças e Implementos by Eduardo Nery Fuganti, Clemes Maria Bevilácqua and Cássia Cristina Bevilácqua Fuganti Pereira, members of the Fuganti Group.
As a condition precedent to the closing, the sellers must approve the partial spin-off of the cin order to segregate Rodomac’s real estate assets and the Parties must enter into, at the closing, lease agreements for the properties in which Rodomac’s head office and main headquarters are located.
With the acquisition of Rodomac, Agro Divel, the concession arm of the Fuganti Group, doubled its number of stores, now serving 134 cities with approximately 800,000 hectares of crops, representing half of Santa Catarina’s agricultural area.
Cescon Barrieu relied on partners Manoela Darcy de Oliveira Miranda (pictured left), Henrique Palma (pictured right), associates Ana Paula Roberti Cristofolini, Italo Dantas and Daniel Paiva.
Martinelli Advogados advised the sellers.
