Trench Rossi Watanabe advises on share swap on NASDAQ

Trench Rossi Watanabe advised the shareholders of Comtrafo Indústria de Transformadores Elétricos on matters related to Brazilian law in the share swap transaction with American Superconductor Corporation (NASDAQ: AMSC), carried out through a structured transaction with payment in cash and shares.

The transaction also included the acquisition of two industrial properties that house Comtrafo’s manufacturing facilities. The agreement provides for additional future cash payments, conditional on the achievement of operational and financial targets over the next three years.

Founded in 1994, Comtrafo manufactures power and distribution transformers, serving the Brazilian market and other Latin American countries. The company projects revenues of approximately US$ 55 million in 2025.

The transaction marks AMSC’s entry into the Brazilian market and comes amid significant investments in the country’s electrical infrastructure, estimated at more than US$ 20 billion over the next few years. The acquisition also strengthens AMSC’s global portfolio.

Trench Rossi Watanabe acted as legal advisor to Comtrafo’s shareholders. The transaction was led by partners Cristina Bueno (pictured left) and Vitor Stern (pictured right) with the participation of associate Luca Contesini.
