TozziniFreire and Pinheiro Neto act on debenture offerings by CPFL

TozziniFreire and Pinheiro Neto advised on different unsecured debenture offerings by CPFL group companies, publicly distributed and coordinated by Bradesco BBI.

TozziniFreire acted as Brazilian counsel to the issuers on two issuances of simple, unsecured debentures, each in a single series and with an additional corporate guarantee granted by CPFL Energia. The transactions involved CPFL group companies and totaled more than BRL 2,5 billion, comprising a CPFL Renováveis BRL 625 million, Companhia Jaguari de Energia BRL 100 million, CPFL Paulista BRL 1,7 billion and CPFL Transmissão BRL 100million. All the offerings were publicly distributed and coordinated by Banco Bradesco BBI.

The transactions were completed in a short timeframe of less than two months and represent further steps in the operational and financial growth of the issuers. The CPFL Energia group operates across distribution, generation, transmission, services, and electricity trading, serving approximately 10.7 million customers in 687 municipalities and holding a 13% share of Brazil’s energy distribution market.

TozziniFreire relied on partner Daniel Laudisio (pictured left), associates Marina Maia de Souza and Marisa Bastos Pujol, and intern Ana Carolina Assumpção Paniagua dos Santos.

Pinheiro Neto advised Banco Bradesco BBI and relied on partner Fernando dos Santos Zorzo (pictured right), senior associate Marcello Pompilio, associates Gabriela Kaneshiro Pereira, Henrique Sampaio Hennies Pratas da Costa and legal assistants Paulo Machado de Carvalho Filho, Thiago Henrique Lemos Costa, and Ana Cecília Couto Villela Pedras.
