TozziniFreire and Pinheiro Guimarães advise on Omni CFI issue

TozziniFreire advised Banco Omni on the second series of financial notes issued by Omni – Crédito, Financiamento e Investimento, totaling BRL 200 million. The issuance was exclusively subscribed by the Inter-American Investment Corporation (IDB Invest) and represents the first public subscription of Letras Financeiras by IDB Invest in Brazil.

The transaction is notable for introducing, for the first time in the Brazilian market, financial notes with a periodic amortization clause, departing from the traditional bullet payment structure. The innovative framework aims to improve liquidity management for the issuer while reducing refinancing risk for investors. The proceeds will be used to expand credit access for trucks and motorcycles, supporting self-employed workers, micro and small businesses, and low-income populations across Brazil.
