Cescon Barrieu, I2A and PMK advise on São Carlos’ deal
Cescon Barrieu advised the SC JiveMauá Corporate Real Estate Investment Fund, as buyer, and XP Investimentos CTVM, which acted as administrator of the fund and coordinator of the unit issuance carried out to enable the acquisition of a portfolio of eight commercial office properties from São Carlos Empreendimentos e Participações.
The assets total approximately 78.2 thousand square meters of gross leasable area and are located in Rio de Janeiro, São Paulo, and Campinas. The transaction, completed on November 27, 2025, exceeded BRL 837 million.
I2A Advogados advised JiveMauá, manager of the SC JiveMauá Corporate Real Estate Investment Fund, in the transaction.
PMK Advogados advised São Carlos Empreendimentos e Participações, as seller of the portfolio and real estate consultant of the SC JiveMauá Corporate Real Estate Investment Fund.
The deal was structured with BRL 586.1 million paid in cash and BRL 251.2 million paid through the issuance and delivery of subordinated units of the fund, through which São Carlos became a subordinated unitholder. Following the closing, São Carlos will also act as the fund’s commercial real estate advisor.
