Machado Meyer, Lobo de Rizzo on Scania Banco deal

Machado Meyer and Lobo de Rizzo Advogados have advised on a secured financing transaction totalling BRL 20,945,000 (approximately USD 4.24 million), in which Scania Banco provided credit to Greenmob Capital Bus Biometano to support the acquisition of biomethane-powered buses for use in the Greater Goiânia metropolitan public transport system.

The financing was structured through the issuance of two Cédulas de Crédito Bancário (CCBs) by Greenmob Capital Bus Biometano SPE in favour of Scania Banco: CCB nº 128784, in the amount of BRL 7,665,000, and CCB nº 128785, in the amount of BRL 13,280,000. The transaction was secured by a fiduciary assignment of the financed vehicles, a fiduciary assignment of the borrower’s quotas, a fiduciary assignment of a reserve account, and a personal guarantee (aval) provided by HP Investimentos e Participações. A future fiduciary assignment of the borrower’s receivables is also contemplated.

The buses acquired through this financing will be leased by Greenmob Capital Bus Biometano SPE to concessionaires operating across five geographic lots of the Integrated Transport System of the Metropolitan Collective Transport Network (RMTC) of Greater Goiânia. The vehicles will be integrated into the BRT system and other local public transport lines in Goiânia and surrounding areas, as part of a broader urban mobility programme that also encompasses compressed natural gas (CNG)-powered fleets.

Machado Meyer advised Scania Banco on the drafting, negotiation, and review of the CCBs, security agreements, and corporate approvals.
