Cescon Barrieu advises on Arton Capitânia FII offering

Cescon Barrieu advised Capitânia Alternatives, BTG Pactual Serviços Financeiros Distribuidora de Títulos e Valores Mobiliários, and Arton Advisors Consultoria Financeira in connection with the primary public offering of quotas of the first issuance of the single class of Arton Capitânia FOF Fundo de Investimento Imobiliário Responsabilidade Limitada (Arton Capitânia FOF FII RL), totalling BRL 100,018,000.

The offering was conducted under the automatic registration rite pursuant to CVM 160 and CVM 175, with registration also completed with B3. The transaction is built around a partnership between Capitânia and Arton, structured with a focus on Arton’s client base.

The fund carries a defined term of five years, which may be reduced by the asset manager under the guidance of the investment committee. A key structural feature is the possibility of early liquidation at any time should unitholders achieve a return equivalent to twice the original invested capital — representing a 100% total return — calculated on the basis of the updated monthly net asset value and distributions already paid.

Cescon Barrieu acted for the manager, the lead underwriter, and the consultant, with team led by partner Vitor Arantes, alongside associates Marcela Rivellino and Ana Clara Lima.
