Larrain advises Red Interclínica on hospital deal
Larrain y Asociados has counseled Red Interclínica on its acquisition of Hospital Clínico Viña del Mar, previously held by Priority Inversiones, Red Salud, Indisa, and other minority shareholders. The transaction received clearance from Chile’s National Economic Prosecutor’s Office (FNE) and marks a further step in Red Interclínica’s national expansion strategy in the healthcare sector.
The deal terms were not disclosed. Larrain y Asociados provided comprehensive legal counsel covering deal structuring, negotiation and preparation of contractual documentation, coordination of the due diligence process, and transaction closing.
The Hospital Clínico Viña del Mar acquisition strengthens Red Interclínica’s presence in the Valparaíso Region (Region V), positioning the company as one of the main healthcare operators in that area. The transaction follows Red Interclínica’s recent purchase of Clínica Puerto Varas and its 2024 acquisition of Clínica San José de Arica from BUPA, both of which were also advised by Larrain y Asociados.
Larrain y Asociados represented the buyer on M&A matters through partners Patricio Montes and Juan de Dios Ferrada, supported by associates Diego Miranda, José Spoerer, and Domingo Manterola. Competition law advice for the buyer was provided by PPU, with Pablo Pardo leading the matter.
The sellers were represented by Prieto y Cía, with a team comprising Juan Tagle, Andrés Laymuns, Fernando Edwards, and Eduardo Larrain.
