Demarest advises Arz Capital on its first quota offering

Demarest advised Arz Capital Gestora de Recursos on its first quota offering of the ARZ Confidas Dwight Real Estate Credit Pós-Fixado II FIF-Multimercado Investimento no Exterior, a fund vehicle designed to give Brazilian investors access to the U.S. real estate credit market. The offering was valued at BRL 18,233,000.

The transaction involved several financial institutions in different capacities: XP Investimentos CCTVM acted as lead coordinator, Arz Capital served as portfolio manager, BTG Pactual Serviços Financeiros DTVM took on the role of fund administrator, and Banco BTG Pactual was engaged as contracted coordinator. The fund channels capital into financing extended to real estate developers in the United States, with the underlying credit assets originated by Dwight Capital, a U.S. real estate finance platform.

The offering carries a cross-border dimension, spanning jurisdictions in Bahamas, Brazil and the United States. This structure allows Brazilian capital to be deployed into the U.S. real estate credit market while channeling the investment through the FIF-Multimercado format, a common vehicle for Brazilian investors seeking foreign exposure.

Demarest was led by partner Mariane Kondo, with support from associates Guilherme Regis and Gustavo Cecche. The matter fell under the capital markets practice area and was not subject to confidentiality restrictions.
