Lefosse advises BTG Pactual on BRL 1.8bn offering
Lefosse advised BTG Pactual, acting as lead coordinator and investment manager, on the approximately BRL 1.8 billion public offering of the 16th issuance of quotas of BTG Pactual Logística Fundo de Investimento Imobiliário (BTLG11).
The offering comprised 17,629,909 quotas priced at BRL 102.51 each, raising approximately BRL 1.807 billion. Strong investor demand led to the full exercise of the additional allotment option, increasing the offering size by approximately 12.9 percent and attracting more than 42,000 investors across retail, institutional and foreign categories. The transaction closed on July 16.
Following the offering, the fund became the largest brick-and-mortar real estate fund in Brazil as of June 2026, considering 100 percent of fundraisings and excluding asset capitalization, reaching a total capitalization value of BRL 7.3 billion.
Lefosse acted as deal counsel to BTG Pactual throughout the transaction, advising on all legal aspects of the offering under the Brazilian securities regulatory framework. The Lefosse team was led by partners Felipe Paiva and André Mileski, together with associates Matheus Maiotto, Rodrigo Bertholdo and Bruno Verciani.
BTG Pactual’s in-house legal team included Pedro Fogaça, Felipe Andreu and Matheus Calazans.
