Demarest advises on Everllence-Bain Capital deal

Demarest acted for both parties in the Brazilian merger filing to Cade, concerning the sale of a 51% equity stake in Everllence, a Volkswagen Group subsidiary, to Bain Capital Group.

The transaction, valued at approximately €7.4 billion, is a cross-border operation with jurisdictional implications in Brazil, where the parties were required to notify the deal to the local competition authority.

Demarest’s antitrust team advising on the Brazilian merger filing was led by partner Daniel Oliveira Andreoli (pictured), with support from associate Raphael Póvoas.

Outside Brazil, Linklaters advised Volkswagen Group, while Kirkland & Ellis advised Bain Capital on the broader transaction.

The deal marks a step in Volkswagen Group’s effort to streamline its investment portfolio through the divestment of a majority stake in Everllence, a company operating in the energy and marine engine sectors.
