Barros & Errázuriz advises on sale of Sunroof SpA to Exagon Subsidiary

Barros & Errázuriz has counseled the founding shareholders of Sunroof SpA, a Chilean company specializing in energy decarbonization for the industrial and commercial sectors, in its sale to Sunroof UK Holdings, a subsidiary of Exagon Impact Capital (XIC). The transaction was completed on May 16, 2025.

Sunroof SpA focuses on renewable energy integration, primarily through photovoltaic (PV) systems and battery energy storage systems (BESS). The acquisition marks an expansion by Exagon Impact Capital, a private equity investment firm focused on advancing the renewable energy transition in Latin America and the Caribbean.

Barros & Errázuriz’s role in this cross-border transaction included advising on the negotiation of the share purchase agreement, coordination with the company’s lenders, and the preparation of documentation necessary to terminate Sunroof’s existing financing agreements. The transaction involved structuring and multi-jurisdictional coordination between Chile and the United Kingdom.
