Basham advises KMC on NMM acquisition

Basham Ringe y Correa has advised Kloeckner Metals Corporation (KMC), a US subsidiary of Klöckner & Co, on the acquisition of National Material of Mexico (NMM) for more than USD 340 million.

With this transaction, KMC expands its presence in Mexico, mainly with industrial and automotive customers.

Other participating firms were Troutman Pepper Hamilton Sanders as advisor to KMC in the US, and EC Rubio and Mayer Brown as advisors to NMM locally and in the US, respectively.

The advice involved due diligence of NMM and its subsidiaries, negotiation and drafting of the transaction documents, obtaining antitrust clearance, environmental and data privacy compliance, among others.

KMC is one of the largest distributors of steel and metal products and one of the leading steel service companies in North America. The company employs 2,600 people at 56 locations in the US and Mexico.

NMM, founded in 1999 and headquartered in Monterrey, is recognised as a leading independent service centre and supplier of carbon and electrical steel, aluminium and stainless steel. With 10 facilities throughout Mexico and a team of more than 500 professionals, NMM serves the North American automotive and industrial end markets.

Carolyn Vignery and Vytas Ambutas served as in-house counsels for KMC and NMM respectively.

Troutman Pepper Hamilton Sanders’ team included Andrea Farley, Joseph Kadlec, Michael Seymour, Barbara Sicalides, William Mayo and Victor Noriega.

EC Rubio’s team was represented by Daniel Magaña and Eduardo David Garcia.

Mayer Brown’s team consisted of Peter Wolf, Nina Flax and Dylan C. Platt.
