Basham counsels Kohler on Klafs acquisition
Basham Ringe y Correa has counselled Kohler on the acquisition of 100% of the share capital of ACG HoldCo GmbH from Klafs MPP GmbH & Co. KG. (Klafs), together with its Mexican subsidiary Klafs Mexico.
The advisory involved: (i) conducting due diligence of Klafs Mexico on corporate, regulatory, labour, environmental and tax issues; (ii) negotiating the transaction documents, such as the share purchase agreement and including the necessary closing actions in order to comply with Mexican law; (iii) providing guidance on tax issues relating to the transfer of shares for the Mexican party; (iv) providing comprehensive advice on compliance with data privacy regulations and standards; and (v) preparing the necessary ancillary documentation for the closing of the transaction.
Klafs develops, designs, manufactures and sells innovative premium wellness products designed to enhance personal spa experiences, including saunas, infrared cabins, steam baths, swimming pools and wellness-related equipment and accessories. In addition, the company offers design consulting, planning and expert installation services. Klafs markets its products through an extensive network of direct-to-consumer showrooms covering mainly Europe, targeting both residential and commercial customers (including hotels, fitness centres, day spas, etc.).
