B&E advises Holding GAC and Americar on Servimaq acquisition
Barros & Errázuriz has advised Holding GAC and Americar on the acquisition of 100% ownership of the Servimaq Group.
This acquisition, which took place on 1 July 2022, will allow the companies to continue their expansion plan in the automotive industry, as Servimaq is one of the main distributors in the south of Chile with sales points in Puerto Montt, Puerto Varas, Valdivia and Osorno and authorised distributor of brands such as Toyota, Volkswagen, Skoda, Citroën, Honda, MG, SsangYong, ZXAuto, Jetour, KYC and Hyundai.
The advice included assistance in the negotiation of the share and share rights purchase agreement, in the due diligence process and in the acquisition of certain real estate, as well as brands and other assets belonging to the group.
It was also structured and negotiated a prior restructuring of the Servimaq Group to achieve the acquisition of 100% and minimise the legal risk for the companies advised, as well as leading the process of prior notification to the National Economic Prosecutor’s Office.
