Benetti & Giammarino advise Bonduelle on the selling of its assets
Benetti & Giammarino Advogados advised Bonduelle do Brasil Produtos Alimentícios, Brazilian subsidiary of the French multinational Bonduelle Group, on the selling of all its industrial assets located in the City of Cristalina, State of Goiás, to Stella D’Oro Alimentos, a Brazilian company specialized in vegetable processing and manufacturing of preserves, seasonings and condiments, belonging to the traditional Brazilian Predilecta Group.
The transaction was structured pursuant to a definitive asset purchase agreement and encompasses the acquisition of a complete industrial facility located in Cristalina, State of Goiás, including the manufacturing plant, industrial equipment, raw materials, and spare parts inventory. The transferred asset comprises approximately 59.40 hectares of total land area, of which 14.50 hectares are designated for industrial operations, including all improvements, constructions and facilities necessary for continued operations in the processed food segment.
Upon CADE’s approval and completion of the transaction, it will enable Stella d’Oro’s commercial reach and portfolio diversification.
