Bichara advises Âmbar Energia on transactions with Eletrobras

Bichara Advogados advised Âmbar Energia on the acquisition of the Candiota III Thermoelectric Complex, located in Candiota (RS). The complex, owned by Companhia de Geração e Transmissão de Energia Elétrica do Sul do Brasil (CGT Eletrosul), a subsidiary of Eletrobras, was acquired for R$72 million.

The firm also advised on the sale of Âmbar Energia’s stake in two transmission assets, which were jointly owned with Eletrobras (Furnas), for a total of R$574 million. They are: Vale do São Bartolomeu (VSB) and Triângulo Mineiro Transmissora (TMT). Âmbar Energia also sold its stake in six special purpose companies (SPEs) that make up the Baleia Wind Complex, which is jointly owned with Brasil Ventos Energia S.A. (BVE), a Furnas subsidiary.

The team was responsible for drafting and negotiating the main and ancillary documents related to the transaction, including the asset purchase agreement for the Candiota III Complex, as well as the documents that formalized the sale of Âmbar Energia’s shareholding in the transmission companies and the companies that own the Baleia Wind Complex.

The closing of the transaction is subject to the fulfillment of certain conditions, including approval by CADE.
