BMA advise Prisma Capital on an investment transaction
BMA advised Prisma Capital on an investment transaction involving Itaminas Comércio de Minérios, through the financing of the company’s acquisition by RDA Mineração and its shareholders 5A Holding Participações (of the Géo family), AVG Participações em Mineração (of the Gontijo family), and FIP Itaminas (whose ultimate beneficiary is Daniel Vorcaro, controlling shareholder of Banco Master).
The acquisition financing was structured through the issuance of debentures by the Itaminas to pay the deferred portion of the purchase price to the seller group led by Bernardo Paz (founder of Inhotim).
The debentures are secured by a fiduciary assignment of the Company’s shares, with the new creditor subrogated into the fiduciary creditor position previously held by Bernardo Paz.
Additionally, personal guarantees were provided by the controlling shareholders of the Company’s partners—Argeu Géo, Rodrigo Gontijo, and Daniel Vorcaro.
