BMA advises Stonepeak on CMA CGM–United Ports JV
BMA Advogados advised Stonepeak on the legal due diligence of Santos Brasil, part of the CMA CGM Group, in connection with the creation of United Ports, a joint venture announced by CMA CGM and Stonepeak to acquire and develop 10 port terminals operated by CMA CGM worldwide. The portfolio includes terminals located in the United States, Spain, India, Taiwan, Vietnam, and Brazil.
The transaction involves a US$ 2.4 billion investment by Stonepeak for a 25% minority stake in the new company.
BMA conducted the legal due diligence of Santos Brasil and six subsidiaries included within the scope of the transaction, in addition to advising Stonepeak on other Brazilian‑law aspects of the transaction and relied on partners Camila Goldberg (pictured), Hélio Alvarez, Adriana Dib Fuzinato, Ana Cândida de Mello Carvalho, Anna Carolina Malta Spilborghs, Fernanda Tanure, Guilherme Zoghbi Ayala, Felipe Palhares, Sergio Savi, Cibelle Linero and José Otavio Haddad Faloppa, associates Alexandre Roscoe Lindenberg, Pedro Tavares, Caíque Ribeiro, Jean Jaldin, Ana Carolina Cerqueira, Estêvão Orcini, Thais Maria Dias, Ana Carolina Villa, Victor Baldi, Julia Soave, Larissa Medeiros, João Victor Bueno, Felipe Destri and Murilo Vianna Artico.
