BMA and Machado Meyer advise on CSN issue
BMA – Barbosa Müssnich Aragão advised Companhia Siderúrgica Nacional; Machado Meyer Advogados advised creditors
The transaction consisted of the issuance by Companhia Siderúrgica Nacional, through its subsidiary CSN Resources S.A., of 5.875% senior unsecured notes due 2032, in the aggregate principal amount of US$500 million.
The Notes are guaranteed by CSN. Machado Meyer acted as Brazilian legal counsel to the lenders on the issuance of notes under Rule 144-A and/or Regulation S.
Machado Meyer advised Banco BTG Pactual S.A. – Cayman Branch, BNP Paribas Securities Corp., Citigroup Global Markets Inc., Goldman Sachs International, Morgan Stanley & Co. LLC, UBS Securities LLC, and with partners Bruno Janikian Racy (pictured left) and lawyer Luis Filipe Gentil Pedro.
Cleary Gottlieb was international counsel to the underwriters and included São Paulo based partner Juan Giráldez, São Paulo based associates Luisa Franciss Galliez and Silvia Fittipaldi , and New York based international lawyer Felipe Paiva.
