BMA assists Cosmopolitano Shopping in Opea’s CRI
Barbosa Müssnich Aragão assisted Cosmopolitano Shopping Empreendimentos S.A.
BMA acted as deal counsel in the public distribution offering, with restricted placement efforts, of real estate receivables certificates of the 430th series of the 1st issue of Opea Securitizadora S.A., in the amount of R$ 175,750,000.00, according to the terms of CVM Instruction 476.
The CRI are backed by real estate credits arising from a purchase and sale agreement entered into between PSRG Empreendimentos e Participações Ltda., as buyer, and Cosmopolitano Shopping Empreendimentos S.A., as seller, and, as intervening parties, Carrefour Comércio e Indústria Ltda., Partage Empreendimentos e Participações S.A., Altipar Empreendimentos e Participações Ltda. and Vinpar Empreendimentos e Participações Ltda. The sale of the property was subject to certain conditions precedent, including approval by CADE.
