Bomchil advises Corporación América on acquisition from BSK
Bomchil has advised Corporación América, through its subsidiaries Abatare Spain and ACI Capital, in an earn-in agreement with Blue Sky Uranium and its subsidiary Minera Cielo Azul (BSK), through which Corporación América will have the exclusive right to acquire up to 80% of the uranium-vanadium deposit ‘Ivana’, located in the Province of Río Negro, Argentina, to be carried out indirectly through contributions in a company incorporated for this purpose and which will hold the respective mining rights.
Corporación América will have the right to acquire up to 49.9% of the Project through contributions in the Company totalling US$ 35 million. In addition, upon completion of a feasibility study, it will have the right to acquire up to 80% of the Project through contributions in the Company to defray the costs and expenses to develop and construct the Project through to commercial production, subject to a maximum investment commitment of US$160 million.
In addition, subject to minimum annual investment amounts, over a six year period the Company will have the option to acquire additional exploration acreage owned by BSK at the Amarillo Grande Project, which comprises a 145 km uranium corridor discovered by BSK and which hosts near surface uranium and vanadium mineralisation and the potential for the discovery of multiple deposits.
Other participating firms were Cassels Brock & Blackwell as international counsel to Corporación America, and Alfaro-Abogados and Blakes Cassels & Graydon as local and international counsel to BSK, respectively.
Emilio Daneri and Esperanza Del Rio acted as in-house counsel to Corporación America.
