Bomchil and Bruchou act in new issue of CGC

Bomchil acted as counsel to Compañía General de Combustibles (CGC) and Bruchou & Funes de Rioja as counsel to the arrangers and underwriters, in the issuance of the Class 35 Notes.

The Class 35 Notes, denominated in US dollars and payable in pesos at the applicable exchange rate at a fixed interest rate of 3.00% and maturing in February 2026, were issued on 28 June for a total amount of US$149,575,391, under the company’s Frequent Issuer Regime.

In addition, the Class 35 Notes could be paid in cash or in kind, through the delivery of Class 30 Notes denominated in US dollars and payable in pesos at the applicable exchange rate at a fixed interest rate of 0.00% and maturing in March 2025, issued by the company in March 2023.

The proceeds from the placement of the Class 35 Notes will be used for investments in physical assets located in the country, refinancing of liabilities, integration of working capital, acquisition of goodwill and integration of capital contributions in companies controlled by or related to the issuing company, acquisition of shares and/or financing of the commercial line of business.

Banco de Galicia y Buenos Aires, Industrial and Commercial Bank of China (Argentina) and Banco Santander Argentina acted as arrangers and underwriters. Allaria Ledesma & Cía., BACS Banco de Crédito y Securitización, Balanz Capital Valores, Banco Comafi, Banco Mariva, Banco Hipotecario, Cocos Capital, Banco Patagonia, Banco de la Provincia de Buenos Aires, Facimex Valores, Max Capital, Invertir en Bolsa and Macro Securities acted as underwriters.

The Notes were authorised for listing on Bolsas y Mercados Buenos Aires and for trading on the Mercado Abierto Electrónico.
